This agreement between you and Mastercard provides terms governing your unsolicited submissions to Mastercard.
Submission Process. Mastercard.com, does not permit the upload of any files. Describe the submission that you would like Mastercard to consider including any patents (if applicable) in the 'Summary' field below (be aware that the only punctuation allowed are periods and commas).
Mastercard’s Process. Following your acceptance of this agreement, Mastercard will consider reviewing your submission to the extent that it, in our judgment, requires review. We receive numerous submissions each year, and it is not practical for us to review all of them. Please understand that we make no promise to review your submission or to provide a response to you.
Your Submission Is Not Confidential. No confidential relationship of any kind will exist or arise between you and Mastercard or between you and any others to whom Mastercard provides your submission, and no obligation of any kind is assumed by, or to be implied against, Mastercard or the others with respect to your submission or its use, despite any confidentiality notices or other restrictive notices in your materials. Mastercard will be free to reproduce, use, and disclose your submission or the ideas therein, to others, for any purpose and without compensation to you, subject to your rights as defined by any valid patent claims. Mastercard reserves the right to implement similar ideas in the future without restriction or obligation, subject to your rights as defined by any valid patent claims. Your submission does not impose upon Mastercard any legal obligation (whether of confidentiality, compensation, return or otherwise) with respect to any ideas, proposals, concepts, suggestions or materials submitted.
Your Representations and Warranties. You agree that you have read the agreement and, in consideration of Mastercard's willingness to consider an examination of your submission, you agree to the terms and conditions of the agreement. You also agree that this agreement applies to all information relating to your submission, regardless of when you submit it, that it applies broadly to Mastercard and to all of its subsidiary and affiliate companies, and it may only be modified or waived in writing, signed by both Mastercard and you.
You agree your submission and Mastercard’s consideration of your submission will not constitute notice to, or knowledge by, Mastercard of any patent or claim of patent infringement for any purpose, including but not limited to a claim by you of willful infringement, the inducement of infringement or contribution to any infringement, or any increased damages or any notice of infringement under applicable United States laws or regulations or any analogous non-U.S. laws or regulations. You further agree not to use this agreement to support any such claim.
You warrant that this submission has not been solicited by Mastercard, that you have the unrestricted right to disclose it to Mastercard and/or dispose of it, and that you are of legal age and otherwise competent to enter this agreement.
The agreement constitutes our entire understanding with respect to this submission and does not create any agency or partnership relationship. This agreement is not assignable or transferable by either party without the prior written consent of the other party. If a subsequent written contract is entered into between you and Mastercard, such contract may supersede this agreement to the extent of any inconsistencies between the two agreements, but it is understood that there is no obligation on the part of Mastercard to enter into such a contract.
This agreement is governed by the laws of the State of New York and the intellectual property laws of the United States of America. You agree that the state and federal courts of the state of New York are convenient and shall have exclusive jurisdiction to settle any dispute related to this agreement or the subject matter of this agreement. No party to this agreement will bring a legal action under this agreement more than one year after the cause of action arose. Each party waives its rights to a jury trial in any resulting litigation. If any dispute under this agreement does arise, you agree not to assert any claim for equitable relief or any claim for damages in excess of USD $1,000 and Mastercard’s entire liability to you under this agreement or for any other claim arising out of your submission shall be $1,000.
You agree that by clicking "Submit" below, you have read this agreement and agree to be bound by its terms, and that such acceptance will be the equivalent of your signature on this agreement. If there is any inconsistency between this agreement and the Terms of Use for mastercard.com, the terms of this agreement will supercede the Terms of Use for purposes of the submission. You also agree that you have the legal authority to execute this agreement on behalf of all individuals and entities that have ownership interests in the submitted materials.
