 An Introduction To Licensing

MasterCard International Incorporated, doing business as MasterCard Worldwide ("MasterCard") is a leading global payment solutions company that supports credit, debit and related payment programs of the nearly 25,000 financial institutions that are its customers. Among other things, MasterCard establishes and enforces rules and standards concerning membership in MasterCard and the use and acceptance of cards carrying any of the MasterCard brands.

If you are eligible for membership with MasterCard and wish to use its marks in any way, and you meet the eligibility criteria, you can apply to become a Member and obtain licences for the relevant marks. The purpose of this guide is to assist you successfully through the Membership and Licensing process.

For existing Members, this guide provides instructions on how to obtain additional licences, change licensee status, name or area of use, sell or purchase a card portfolio or merge with another entity – all actions which may have a direct effect on existing Licence Agreements.

This Guide is intended to serve as a ready and convenient overview of how MasterCard administers common membership actions. For those financial institutions that already are members of MasterCard, this guide also provides a summary of fees MasterCard charges in connection with membership actions.

  ELIGIBILITY CRITERIA FOR MEMBERSHIP

All eligibility criteria must be satisfied before an entity can be granted membership. The three types of membership are MasterCard, Maestro and Cirrus.

An ICA and a BIN is required for a member to perform any card issuing and/or acquiring activities

Prospective members may apply for new membership by obtaining the application kit and completing the required forms.

  PARTICIPATION IN THE U.S. MASTERCARD DEBIT LICENSE PROGRAM

Participants may apply for the MasterCard Debit License Program either as a principal or affiliate. Principal licenses are available entities that are ineligible to become MasterCard members. Debit Licensees are not full members of MasterCard. Such licensees have been granted a limited license to issue debit cards. MasterCard Debit Licensees are not entitled to the same rights as members, although such licensees have the same obligations as members. As a principal, the Debit Licensee can sponsor affiliates for the purpose of issuing only MasterCard debit cards. All affiliates are required to be deposit-taking financial institutions.

  MERGER

A merger is defined as the complete sale or acquisition of one member to another member. Membership is not transferable. The documents to be completed by a member undergoing a merger will depend on the status of the entities involved in the merger. If a member is sold to a non-member, the surviving entity must become licensed as a new member before the merger can be processed.

At the time of granting membership, each new principal or affiliate member will pay a one-time initiation (licensing) fee for their membership based on the brand(s) they are being licensed for. Members will also be assessed one-time fees for administrative services provided in support of requested membership changes such as ICA/BIN transfers, sponsorship changes, name changes, portfolio sales., etc. Specific fees are provided on the following pages.
