MASTERCARD BENEFITS FOR THE CITI PRESTIGE® CARD (US)
MasterCard is the Service Provider for the MasterCard Benefits

INTERNATIONAL COMPLIMENTARY NIGHT HOTELS AND RESORTS PROGRAM TERMS AND CONDITIONS

The International Complimentary Night Hotels and Resorts Program Terms and Conditions are effective starting on October 19, 2014

You will enjoy a complimentary fourth night with no black-out dates, when you book four consecutive nights at any hotel booked by a personal travel advisor designated by MasterCard (the "designated travel advisor" is Carlson Wagonlit Travel). Bookings made through other methods such as, travel agents, websites or directly with a hotel will not qualify.

To receive your complimentary night (via a statement credit) you must:

  • Make a reservation for a minimum, consecutive four-night stay by contacting the Citi Prestige Concierge, to book directly with a designated travel advisor
  • Fully pay for your stay with a Citi Prestige Card

Receive one complimentary night (room rate for the fourth night and applicable taxes only) for any consecutive four-night hotel stay booked directly with a MasterCard designated travel advisor. Hotel imposed fees and incidental guest charges are the Cardmember's responsibility. The value of the complimentary night will be the actual rate, as provided by the designated travel advisor, on that fourth night of the reservation, even if the rate is different from the rate on other nights. Cardmember will be charged the total cost of the stay at checkout and will receive a credit to the credit card statement for the cost of the fourth night (and the applicable taxes). If the cardmember books a special "pre-paid" rate this may require upfront payment in full, at time of booking. Payment in full is defined as pre-payment for the total of all four consecutive nights. Only one complimentary night is eligible per room reservation. Rates provided will be equal to or lower than the lowest publicly-available fare at the hotel's official website. The benefit can only be used by each primary account Cardholder. This benefit is available to all Citi Prestige Cardmembers worldwide.

Statement Credit for Hotel Program

Fulfillment

All statement credits will be reflected on the Citi Prestige card statement as being a result of the Program and will appear within two billing periods following the month in which travel was completed; or in the case of promotional "pre-paid" that are paid in full as described above, rates the credit will be reflected within two billing periods following the date of payment in full of the "pre-paid" rate. Foreign exchange conversion rates may fluctuate resulting in slight differences in amount credited.

Cancellations and Reversals

All cancellations must be done through the designated travel advisor. If the reservation is cancelled, any statement credit relative to the offer will be reversed, based upon the eligibility and satisfaction of the terms of the offer. Citi and MasterCard reserve the right to reverse a statement credit including, and without limitation, any refunds, returns, disputes, adjustments or fraudulent card activity.

Merchant and Merchants Offers

Neither Citi nor MasterCard will be liable for any loss or damage incurred as a result of any interaction between a Cardmember and a Merchant (a "Merchant" is a travel supplier) with respect to the Program. Except as set forth herein, all matters, including but not limited to delivery of goods and services, returns, and warranties are solely and strictly between Cardmember and the applicable Merchants, subject to applicable law. Cardmember acknowledges that Citi and MasterCard do not endorse or warrant the Merchants that are accessible through the Program, nor the Offers that they provide.

Cardmember Responsibilities.

By consenting to the Terms, you agree that: (i) you represent only yourself here and no other person; (ii) that you are of the legal age of majority in order to enter into contracts or if you are entering into these Terms for a small business you are able to bind such entity; and (iii) you will provide accurate information to Citi and MasterCard, including, but not limited to, information required to register for the Program; and (iv) you will not use the Program for any purpose that is unlawful or prohibited by the Terms.

INTERNATIONAL FIRST OR BUSINESS CLASS DISCOUNT PROGRAM TERMS AND CONDITIONS

This benefit is available to all Citi Prestige Cardmembers worldwide until 12/31/2014.

Air program discount percentage will be calculated based upon dollar amount off Full Fare International First or Business Class prices. These discounts may be subject to certain blackout dates and may not be available. This discount only applies to the ticket's base fare and is not applicable on any taxes or fees. Discounts of up to 25% will be made available on participating airlines and, depending on the airline, your discount will be applied to the airline's base fare and the net cost of the ticket will be reflected on the cardmember's credit card statement or the discount will be reflected as a credit on the cardmember's billing statement (which can take up to 2 billing statements to appear). If the ticket is cancelled and refunded, the discount originally credited will be reversed on the statement. Air Discounts, Upgrades, and/or Companion Tickets are not combinable. There is no cash value for the Cardmember. All cancellations or exchange fees are the responsibility of the Cardmember. Applicable airline penalties will be disclosed to the Cardmember at the time of purchase.

ADDITIONAL HOTEL AND AIRLINE BENEFITS TERMS AND CONDITIONS FOR BENEFITS PROVIDED BY MASTERCARD

Acceptance of Terms and Conditions:

This Citi Prestige program (the "Program") entails hotel and airline benefits to Citi Prestige Cardmembers. Under the Program Cardmember has access to benefits from participating hotels and airlines. Please read these Terms of and Conditions of each Benefit carefully before using the benefit. By using this Program, Cardmember agrees to these Terms of Use and any operating rules and policies that may be published by Citi and/or MasterCard International Incorporated ("MasterCard"). MasterCard is a service provider for the Program ("Service Provider"). Terms of Use may be amended from time to time (the "Terms"). MasterCard may change these Terms at any time without notice, and any such changes will be effective when sent to the Cardmember. By using the program Cardmember acknowledges that Cardmember has read, understood, and agreed to be bound by all of the terms and to comply with all applicable laws and regulations. Cardmember should retain a copy of this agreement for their records.

For the purposes of this Program, the following conditions apply: (i) all bookings and cancellations for travel must be made through the Travel Advisor; (ii) the booking must be made and fully paid for with a Citi Prestige Card; (ii) must be at least 18 years of age; (iii) must be a legal resident of the country in which the card was issued; (iv) must satisfy all terms of the offer to be eligible for the offer; (v) the transaction must be completed with a Citi Prestige Card. Additional terms, conditions and exclusions apply. For any questions or issues about whether a Citi Prestige Card is eligible or regarding Program benefits, Cardmember must contact Customer Service number located on the back of the card. Citi and MasterCard reserve the right to not provide the promotion if: (a) Cardmember did not take all steps required to qualify for the offer; (b) Cardmember attempted to reserve the travel by methods that contravene the reservation system, offer terms and conditions or terms of use; (c) otherwise violated the Terms of Use. Benefits are available to Cardmembers in good standing. Offer availability subject to local law.

GLOBAL ENTRY APPLICATION FEE CREDIT

Global Entry Membership allows international travelers expedited entry upon arrival in United States, by using automated kiosks when entering the United States. Once approved, Global Entry members can use automated kiosks in most major U.S. airports, rather than having to go through the traditional arrival process. There is a $100 application fee payable to US Customs and Border Protection (CBP) which administers the program. As a benefit of the Citi Prestige Card, Citi will provide one statement credit for this $100 application fee, once the fee is charged to the account. The $100 application fee credit will reset once every 5 years.

GLOBAL ENTRY PROGRAM TERMS AND CONDITIONS

TERMS AND CONDITIONS (Per CPB):

    1. To qualify you must be a U.S. citizen, lawful permanent residents of the U.S., and citizens of certain other countries are eligible for Global Entry membership provided that they:

    • Have never been convicted of a criminal offense in any country
    • Have never been found in violation of customs, immigration or agricultural laws
    • Do not provide false or incomplete information on their application
    • Are not the subject of an investigation by any Federal, State, or local law enforcement agency.

  • 2. Once you submit an application online, your application will be reviewed by CBP. If you pass the initial checks, you will be asked to schedule an interview at one of the Global Entry Enrollment Centers. At that interview a CBP officer will determine your eligibility, take your photo, and collect biometric information (e.g. fingerprints).

  • 3. Applicants must have a valid machine readable passport and one other form of government issued identification such as a driver's license or ID card. If you are a permanent resident of the U.S. you must provide your machine readable permanent resident card.

  • 4. Children under the age of 18 will require consent by a parent or legal guardian.

DISCLAIMER:

Global Entry is a U.S. Customs and Border Protection (CBP) program. Decisions to approve/deny applications are made solely by CBP. Citi has no influence over CBP's decision to approve or deny an application. Citi is not notified of approvals or denials to applications. Applications are made directly by the applicant to CBP. Information submitted by the applicant to CBP is not shared with Citi. Citi does not share account information with CBP. Citi does not have access to CBP records Application fees must be paid at time of application submission.

The one statement credit for the $100 application fee charged to the Citi Prestige credit card account, is applied by Citi directly to the card account.

MASTERCARD AIRPORT CONCIERGE TERMS AND CONDITIONS

This benefit is brought to Citi Prestige Cardmembers by MasterCard International but the Service Provider is Global Airport Concierge.

MasterCard Airport Concierge Service is provided by Global Airport Concierge. In the case of making any airport concierge service ("Meet & Greet") bookings utilizing MasterCard Airport Concierge provided by Global Airport Concierge ('GAC"), it is the Citi Prestige cardmember's responsibility to provide all the required and correct information. Any lack or delay of the information can affect the service and neither MasterCard International Incorporated ("MasterCard") nor GAC will be held responsible for any such event. It is the Citi Prestige cardmember's responsibility to choose and book a start time that allows sufficient time for the service to take place or the formalities to be completed in good time. There is no charge for any cancellations made more than 48 hours in advance of the service. For any cancellations made within 48 hours prior to the scheduled service, there is a 100% charge equivalent to full invoice and no right to refund. There is no charge for any amendments to the services made more than 48 hours in advance of the service. For any amendment made less than 48 hours in advance of the service, there will be a change fee imposed, which varies depending on the airport. Airside access at some airports may be subject to possible security restrictions. Infants up to 12 months will not be charged and between 12 and 36 months will be charged at 50%. Standard service times are typically 3 hours. Additional fees may apply for service–times of more than 3 hours. This does not apply to cases when flights are unexpectedly delayed. Additional fees may apply after the initial booking due to changes/cancellations made within 48 hours of travel, extra services added or additional passengers added at the airport. INTERNATIONAL GOLF PROGRAM TERMS AND CONDITIONS

GOLF BOOKINGS IN US, CANADA, LATIN AMERICA, CARIBBEAN, EUROPE, MIDDLE EAST AND AFRICA

This benefit is brought to Citi Prestige Cardmembers by MasterCard International but the Service Provider is Golf Switch, Inc.

The primary cardmember will receive 3 complimentary rounds of golf through the Citi Prestige® Golf Portal (provided by GolfSwitch, Inc.) each calendar year, subject to the terms and conditions of the Program. Complimentary rounds are for the primary cardmember only. The Citi Prestige card must be used to reserve the rounds, and if the round is eligible for the complimentary offer, the cardmember will not be billed. After the 3 free rounds of golf are used, the cardmember will need to use their Citi Prestige card to book and pay for additional rounds. Cardmember must book at least 3 days in advance of tee date.

TEE TIME BOOKING AND AUTHORIZATION AGREEMENT

By accepting this Agreement you

(1) authorize GolfSwitch to transmit your name, address, E-mail address and credit card information to the golf course at which you make such reservation and to the Website Booking Agent and

(2) acknowledge that the Website Booking Agent's operators may use your credit card to guarantee the reservation and/or charge the greens fee in advance.

The golf course you have selected requires advance notice before day of play for any cancellation which you may furnish by either following the cancellation policy on the GolfSwitch site or by contacting the Citi Prestige Concierge directly. If you do not cancel your reservation in accordance with the cancellation policy, you may be charged the entire greens fee for all rounds reserved.

Although GolfSwitch is using its most reasonable effort to provide an internet reservation system for customers desiring to reserve rounds at golf courses participating in its network, you understand that GolfSwitch is providing its reservation service "as is" without making any warranties of any kind, including any express warranties and the implied warranties of merchantability and fitness for a particular purpose, except as required by law. Golf Switch's maximum liability for any damages that you may suffer or that may result from your use of the reservation system will not exceed the aggregate booking fee paid for the reservation owing rise to the damages. In no event will GolfSwitch or any of its Suppliers be liable for any consequential, incidental or any such damages or for lost profits of any kind, even if apprised of the possibility of any such damages.

GOLF BOOKINGS IN ASIA

This benefit is brought to Citi Prestige Cardmembers by MasterCard International but the Service Provider is Access 3 Marketing Pte. Ltd.

Golf Privilege is valid from October 1, 2012 to February 28, 2015. All offers are subject to change and tee-time availability. Cardmembers must book golf with their Citi Prestige card.

1. Primary Citi Prestige cardmembers are entitled to complimentary green fees at 6 participating golf courses (2 courses in Singapore, 2 courses in Malaysia and 2 courses in China).

2. Primary Citi Prestige cardmembers are entitled to book and play for a maximum of three (3) times a year at each of these 6 courses.

3. All payments for cardmember(s) and guest(s) must be made upon booking and charged to their Citi Prestige card

4. Minimum golfer requirement per flight applies as required by the respective golf clubs.

5. Weekday bookings must be made at least 4 days in advance

6. Weekend bookings must be made at least 8 days in advance.

7. Cardmembers cannot book more than 14 days in advance.

8. Primary Citi Prestige cardmembers are not required to pay green fees. However, cardmember is required to pay for buggy fees, caddy fees, taxes and all other ancillary charges which the participating golf club may specify and charge from time to time.

9. Guests of Primary Citi Prestige cardmembers are required to pay green fees, buggy fees, caddy fees, taxes and other ancillary charges at the participating golf club rates. There is no limit to the number of guests but bookings are subject to availability. Rates are subject to change without notice.

10. Cardmembers cannot book for the next golf game until the current booked game has been played. All bookings are subject to availability.

11. Cardmember(s) and guest(s) must have valid handicap and the club may require golfers to produce their Handicap card upon registration.

12. Cardmember(s) will not be granted access rights to the participating clubs without booking through Citi Prestige Concierge. Golf clubs will not entertain any correspondence / enquiries and / or attempts for bookings directly from cardmember.

13. The program cannot be used by cardmember(s) or their guests in conjunction with any other promotional golf offers.

14. Citi and its partners, affiliates and contractors does not assume liability and cardmember(s) shall not make any claim whatsoever for:

  • Injury or bodily harm
  • Loss or damage to property, howsoever caused, arising from or in connection with the Citi Prestige Complimentary Green Fees program

15. Citi reserves the right to replace the participating golf clubs under this Program, without prior notice to cardmembers.

16. The following amendment and cancellation fees apply after the golf booking has been confirmed:

iii. Change of dates within the cancellation period is considered a cancellation and penalty fees will apply as per above table.

b. For all other clubs, the following cancellation/ amendment charges will apply

17. The Golf program allows only access to the golf facility only. Cardmembers and/ or their guests will not have access to the other facilities at the golf club(s).

WORLD ELITE® MASTERCARD - TERMS AND CONDITIONS (US)

The World Elite benefits are brought to Citi Prestige Cardmembers by MasterCard

To take advantage of any World Elite® travel benefits described here, unless otherwise stated, cardmember must book through Carlson Wagonlit Travel (CWT), MasterCard's designated travel agent for MasterCard Travel Services and must reserve and pay in full for reservations, including deposit and final payment, with a valid Citi Prestige MasterCard. All travel must be booked and travel started for this benefit by December 31, 2014. All benefits and offers are subject to availability and are subject to change or cancellation without notice.. Multiple World Elite travel benefits provided by MasterCard Travel Services may be booked, but such benefits may not be combinable with a travel service provider's other offers. Benefits may generally be redeemed multiple times, subject to specific travel service provider limitations, or unless limits are noted, and are valid on new bookings only.

If a booking is made through CWT with a Travel Supplier that is not participating in the World Elite benefits program, then CWT will offer rates negotiated by CWT and/or those available to CWT in the Global Distribution System. If within twenty-four (24) hours of a Cardmember's original reservation through CWT with a Supplier that is not participating in the World Elite benefits program, and before actual travel date, Cardmember notifies CWT of a lower publicly-available rate that meets the exact booking criteria for the same Supplier, then CWT will contact the applicable Supplier (including hotel, cruise line, car rental, tour company, airline or other) in an attempt to procure that same lower rate for the Cardmember, or, alternatively, the Cardmember will be allowed to cancel his or her reservation, provided the Cardmember was not informed at the time of booking that the reservation was non-refundable.

Cardmembers acknowledge that, with respect to airfares booked in some jurisdictions, cardmembers may not be allowed to cancel a reservation after twenty-four (24) hours have elapsed from original reservation. For purposes of the foregoing, discount or negotiated rates not available to the general public, such as closed memberships, auction sites, phone only rates and same day mobile only rates are not considered publicly available rates. Specific travel benefits are not available for certain card programs.. Airline booking and other fees may apply. Air Program: World Elite commercial air benefits described here unless otherwise stated, must be reserved and ticketed through Carlson Wagonlit Travel (CWT), MasterCard's designated travel agent for MasterCard Travel Services and full payment must be made with a valid Citi Prestige MasterCard. Travel commencement dates vary by airline. Tickets are non-transferable and non-endorsable and may be non-refundable depending on the class of service ticketed. Benefit is valid for one-way or roundtrip travel provided travel originates in a qualifying gateway. All travel must originate in the country in which the ticket is issued. Other restrictions may apply. Any deviations or changes in routing by personal choice of the Cardmember after ticketing will be at the Cardmember's expense. Non-participating carriers must be ticketed and priced separately. Tickets can be issued the same day as the departure date if World Elite Program inventory is available and if the applicable airline allows electronic ticketing. Otherwise, same-day reservation, ticketing and departures are not allowed. Electronic tickets will be issued for all itineraries unless paper tickets are required by the airline. If paper tickets are required by airline, an overnight or two-day delivery fee for delivery of the paper ticket to the Cardmember will be the responsibility of the Cardmember. If the Cardmember requests a paper ticket in lieu of an electronic ticket, Cardmember will be responsible for airline paper ticket fee and also for the overnight or two-day delivery fee for delivery of the paper ticket to the Cardmember. Room upgrades and program amenities are based upon availability at time of arrival unless otherwise noted. Room upgrades are offered only for designated hotels and room categories and individual hotel participation may be withdrawn without prior notice. Upgrades may not apply to suite bookings. Benefits are valid on new bookings made between January 1, 2014 and December 31, 2014 for sailings departing no later than December 31, 2014. The World Elite shipboard credit will be applied to the first two full fare paying passengers sharing a stateroom. Shipboard credits do not apply to third and fourth passengers sharing the same stateroom. Single occupancy stateroom is eligible for one onboard credit per stateroom. PRIORITY PASS SELECT LOUNGE ACCESS TERMS AND CONDITIONS
The Service Provider is Priority Pass
1. Primary and Authorized users are granted complimentary access to the Priority Pass lounges and allowed a maximum of up to two guests or immediate family members (spouse, domestic partner and/or children under 18 years of age). Any additional guests will be charged a $27 per guest, per visit charge.
2. The conditions of use on the Priority Pass website prevail over any other terms and conditions provided to the cardholder in relation to the use of the Priority Pass Card.
3. The Priority Pass card is not transferable and is only valid up to its date of expiry and when it has been signed by the cardholder. The card may not be used by any person other than the named cardholder and only one Priority Pass card may be used for each lounge visit.
4. The Priority Pass card is not a payment card nor is it proof of creditworthiness and attempts to use it as such could constitute fraud.
5. Admittance to a lounge is conditional upon presentation of one valid Priority Pass card per person only (some restrictions may apply to Priority Pass Select cardholders and Priority Pass cardholders in the U.S. that receive their membership through a U.S. financial institution). Citi Prestige Cards will not be accepted as substitutes for the Priority Pass card.
6. Lounge visits are subject to a $27 per person per visit charge. Priority Pass may amend the lounge visit charges at any time on providing 30 days' notice in advance of such change. Where the cardholder receives the Priority Pass card through third party card issuer, any changes in lounge visit charges shall be notified to Citi, who is responsible for advising the cardholder. The cardholder agrees that the Priority Pass Group of companies is not responsible for any disputes that may occur between the cardholder and Citi nor for any loss incurred by the cardholder relating to any lounge visit charges debited by Citi.
7. In the event that the cardholder does not accept any change in the lounge visit charges, the cardholder shall have the right to terminate their membership on providing notice in writing directly to Citi who will be responsible for informing Priority Pass and liable for any costs the cardholder incurs as a result of its failure to inform Priority Pass of such termination.
8. When presenting the Priority Pass card on entering the lounge, lounge staff will either electronically scan or take an imprint of the card and issue a 'Record of Visit' voucher or receipt to the cardholder or make a log entry. The cardholder must sign the 'Record of Visit' voucher or receipt, or sign the electronic reader (as applicable), which will also reflect the exact number of accompanying guests, if any, but does not show any per person per visit charge. The charge per visit for the cardholder, where relevant, and that for any guests will be based on the 'Record of Visit' voucher/receipt/log submitted by the lounge operator.
9. The lounge staff, will where appropriate, make a voucher imprint/log entry of the Priority Pass card, and the cardholder is responsible for ensuring the 'Record of Visit' voucher/receipt/log correctly reflects their own usage and that of any guests at the time of using the lounge. Where applicable, the cardholder is responsible for retaining the 'Cardholder's' copy of the 'Record of Visit' voucher or receipt presented to them at the lounge.
10. Access to the lounges for children and the fees for such visits varies across the lounges and the cardholder is advised to check the individual lounge description before travelling.
11. All participating lounges are owned and operated by third party organizations. The cardholder and accompanying guests must abide by the rules and policies of each participating lounge. The cardholder accepts that the Priority Pass group of companies has no control over the lounge operator's decision whether to admit any cardholder, the number of people allowed in any lounge at any time, facilities offered, the opening/closing times, the length of time which cardholders may spend in the lounge and any charges payable for extended lounge visits or the personnel employed by the lounges. The administrators of Priority Pass will use reasonable endeavours to ensure the benefits and facilities are available as advertised, but the cardholder accepts that the Priority Pass group of companies does not warrant nor guarantee in any way that all or any of the benefits and facilities will be available at the time of the cardholder's visit.
12. The cardholder further accepts that the Priority Pass group of companies is not liable for any loss to the cardholder, or any accompanying guests, arising from the provision or non-provision (whether in whole or in part) of any of the advertised benefits and facilities.
13. Participating lounges have no obligation to announce flights and the cardholder accepts that the Priority Pass group of companies shall not be held liable for any direct or indirect loss resulting out of any cardholder and/or accompanying guests failing to board their flight(s). It is the cardholder's responsibility to check the relevant entry requirements for any country being visited and to have the correct travel documentation for the journey.
14. The provision of free alcoholic drinks (where local law permits) is at the discretion of each lounge operator and in some cases may be limited or unavailable. In such cases the cardholder is responsible for paying any charges for additional consumption direct to the lounge staff. (See individual lounge descriptions for details.)
15. Telephone and Wi-Fi facilities (where available) vary from lounge to lounge and are provided at the lounge operator's discretion. Free usage of telephone facilities is normally limited to local calls only. Charges for any other lounge facilities are at the discretion of each lounge operator and the cardholder is responsible for paying these direct to the lounge staff.
16. Admittance to lounges is strictly subject to cardholders and any guests being in possession of a valid flight ticket and travel documents for the same day of travel. Airline, airport and other travel industry employees traveling on reduced-rate tickets may not be eligible for access. Outside the US, flight tickets must be accompanied by a valid boarding pass for a departing flight, i.e. outbound passengers only. Please note some lounges in Europe are located within designated Schengen areas of the airport which means that access is only provided to these lounges if cardholders are traveling between Schengen countries (an up to date list of Schengen countries is detailed at http://ec.europa.eu/dgs/home-affairs/what-we-do/policies/borders-and visas/schengen/index_en.htm.)
17. Admittance to lounges is subject to cardholders and any guests (including children) behaving and dressing in accordance with the relevant lounge terms and conditions and any person not complying with such terms and conditions may be asked to vacate the lounge facilities. The Priority Pass group of companies is not liable for any loss suffered by the cardholder and any guests where a lounge operator has refused admission because the cardholder and/or guests have not complied with these conditions.
18. To the fullest extent allowed by law, the Priority Pass group of companies accepts no responsibility for the actions of the cardholder when using any participating lounge and shall not be responsible for any personal belongings brought into a lounge by cardholders.
19. Lost, stolen or damaged Priority Pass cards are to be notified immediately to (i) the Priority Pass office from which the card was issued or (ii) to Citi, who shall be responsible for providing a replacement card. A charge may be levied for any replacement card.
20. In the event of the cardholder cancelling their Citi Prestige Card with the card issuer, the Priority Pass card shall be invalid effective from the cancellation date or the expiry date (as applicable) of their Citi Prestige card. Any lounge visits made by a cardholder using an invalid card, including any guests, shall be charged to the cardholder.
21. All disputes must be settled directly with the lounge in question and the Priority Pass group of companies shall not be liable for any costs, damages, losses or expenses related to such disputes.
22. The Priority Pass group of companies reserves the right at any time in its sole discretion and without notice to revoke membership to Priority Pass or to terminate the Priority Pass programme. Where applicable a proportional refund of the annual fee/enrollment fee (whichever is applicable) will be made provided revocation has not been made because of fraud or misuse by the cardholder.
23. The cardholder agrees that s/he will defend and indemnify the Priority Pass group of companies, its directors, officers, employees and agents (collectively 'the indemnified parties') against and hold each indemnified party harmless from all liabilities, damages, losses, claims, suits, judgments, costs and expenses (including reasonable legal fees) for injury to or death of any person or damage to or destruction of any property arising out of the use of any lounge by the cardholder or any other person accompanying the cardholder, except that such indemnification shall not extend to acts of gross negligence or willful misconduct by the indemnified parties.
24. Priority Pass makes no representations as to any income, use, excise or other tax liability of cardholders as a result of their Priority Pass membership. Cardholders are advised to check with their accountant or tax adviser for further information. The cardholder is solely responsible for any tax liability as a result of Priority Pass membership.
25. By using a Priority Pass card, the cardholder consents to any personal data being used in accordance with the Priority Pass privacy policy available at www.prioritypass.com or available on written request to Priority Pass at Cutlers Exchange, 123 Houndsditch, London EC3A 7BU, UK.
26. The Priority Pass group of companies is constantly trying to improve the services it provides to cardholders. Any cardholder with concerns or complaints may contact Priority Pass. Priority Pass may occasionally monitor telephone calls from cardholders to maintain and enhance its services. All complaints relating to any lounge visit should be made within six months of the relevant lounge visit.
27. Priority Pass reserves the right at all times to make any changes to these Conditions of Use.
28. To the extent permissible by local law or regulation these Conditions of Use shall be governed by and construed in accordance with English law and Priority Pass and the cardholder submit to the non-exclusive jurisdiction of English courts to resolve any disputes that arise out of them.
29. Any provision of these Conditions of Use declared void or unenforceable by any competent authority or court shall, to the extent of such invalidity or unenforceability, be deemed severable and shall not affect the other provisions of these Conditions of Use.
30. If there is any conflict in meaning between the English language version of these Conditions of Use and any version or translation of these Conditions of Use, the English language version shall prevail.
